Terms of Use

These Terms of Use (the “Terms”) are an agreement between you and FirstBid (“FirstBid,” “we,” “us”). They cover your use of the FirstBid app and website (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What FirstBid is

FirstBid is a tool that helps you draft job estimates and proposals. You take photos and record notes, and the Service uses artificial intelligence to produce a draft estimate and, optionally, a draft materials list. FirstBid is a drafting aid for a qualified professional. It does not replace your judgment, your measurements, or your responsibility for the work you bid and perform.

2. AI estimates are drafts. You are responsible for them.

Everything the AI produces is a starting point, not a finished bid. AI output can be wrong. It can misread a photo, miss part of the scope, misjudge a quantity, or suggest a price that does not fit your costs or your market. Prices the AI suggests are estimates, not quotes, and are not guaranteed to be accurate or complete.

Before you send anything to a customer, order any materials, or commit to any price, you must review and verify every line, quantity, measurement, and price yourself. You are solely responsible for the accuracy and completeness of any estimate, proposal, or materials list you send or rely on.

FirstBid is not responsible for pricing errors, underbids, missed scope, cost overruns, material shortages or surpluses, lost profit, or any other loss that results from relying on AI output. The numbers you send to your customer are your numbers.

3. Your responsibilities

You are responsible for:

  • Holding any license, insurance, bond, or permit required for your work, and for the accuracy of the license and insurance details you show on your proposals.
  • Reviewing and standing behind every estimate and proposal you send.
  • Your communications and contracts with your own customers. A proposal you send through FirstBid is between you and your customer.
  • Following the laws, codes, and regulations that apply to your business and your jurisdiction, including contractor, tax, and consumer-protection rules.
  • The accuracy of the customer information and any other data you enter, and for having the right to enter it.
  • Keeping your account password secure.

4. Beta software

The Service is currently offered as a beta. It is still being developed. Features may change, break, or be removed, and the Service may be unavailable at times. We do not promise any level of uptime, performance, or data availability during the beta. Keep your own records of anything you rely on.

5. Accounts and access

You must give accurate signup information and keep it current. You are responsible for activity under your account. We may suspend or end accounts that abuse the Service, break these Terms, or put the Service or other users at risk. During the beta, access is by invite, and free trial or granted credits do not create any right to continued or free access.

6. Acceptable use

You agree not to:

  • Use the Service for anything unlawful or fraudulent.
  • Upload content you do not have the right to use, or content that is unlawful or infringing.
  • Try to break, overload, reverse engineer, or gain unauthorized access to the Service or its systems.
  • Attempt to get around usage limits, cost controls, or the invite gate, including by creating accounts to farm free generations.

7. Your content and data

You keep ownership of the content you put into the Service, such as your photos, notes, price book, and business details. You give us the permission we need to store and process that content to run the Service, which includes sending it to the third-party providers that power features like AI drafting, transcription, storage, and email. Our Privacy Policy explains this in more detail.

8. No warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error free, or that any AI output will be accurate or complete.

9. Limitation of liability

To the fullest extent allowed by law, FirstBid and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or business, arising out of or related to your use of the Service, even if we were advised such damages were possible. To the fullest extent allowed by law, our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the three months before the claim, or one hundred US dollars.

10. Indemnity

You agree to defend and hold FirstBid harmless from claims, losses, and costs arising out of your use of the Service, the estimates and proposals you send, your work for your customers, or your breach of these Terms, to the extent allowed by law.

11. Changes to these Terms

We may update these Terms as the Service grows. When we do, we will change the date at the top. If you keep using the Service after an update, you accept the new Terms.
